1. Definitions

"Service" refers to the Quaive collaboration platform provided as a cloud-hosted software-as-a-service (SaaS). "Organisation" refers to the entity that has contracted access to the Service and to which you have been invited. "User" refers to any individual granted access to the Service by their Organisation. "Content" refers to any data, documents, files, messages, or other material uploaded, created, or shared through the Service.

2. Acceptance of terms

By activating your account and using the Service, you agree to be bound by these Terms and Conditions. If you do not agree, do not activate your account. Your Organisation's administrator has invited you to use the Service; these terms govern your individual use.

3. Account and access

You are responsible for maintaining the confidentiality of your login credentials. You must not share your account with others or allow unauthorised access. You agree to notify your Organisation's administrator immediately of any suspected breach of security. We reserve the right to suspend accounts that violate these terms.

4. Acceptable use

You agree to use the Service only for lawful purposes related to your Organisation's activities. You must not: upload malicious software or content that infringes third-party rights; attempt to gain unauthorised access to other accounts, systems, or data; use the Service to store or transmit content that is illegal, harmful, or violates applicable regulations; interfere with the availability or performance of the Service.

5. Data and privacy

Content you upload remains the property of you or your Organisation. We process personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR). We do not sell or share your data with third parties for marketing purposes. Your Organisation's administrator controls who has access to Organisation data. Upon termination, your Organisation may request a full export of its data.

6. Service availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for temporary unavailability caused by circumstances beyond our reasonable control, including internet outages, hardware failures, or force majeure events.

7. Intellectual property

The Service, including its design, software, and documentation, is protected by intellectual property law. Your use of the Service does not grant you ownership of any part of the platform. You retain ownership of all Content you create or upload.

8. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by your Organisation for the Service in the twelve months preceding the claim. This limitation does not apply to damages caused by wilful misconduct or gross negligence.

9. Termination

Your Organisation's administrator may revoke your access at any time. We may suspend or terminate your account if you breach these terms. Upon termination, your access to the Service and its Content will cease. Provisions regarding data ownership, liability, and governing law survive termination.

10. Changes to these terms

We may update these terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.

11. Governing law

These terms are governed by the laws of the Netherlands. Any disputes arising from these terms shall be submitted to the competent courts in Amsterdam, the Netherlands.
